CONVOCAÇÃO E PRESENÇA: A convocação foi dispensada, em virtude da presença da totalidade dos cotistas do Fundo (os “Cotistas”), conforme assinaturas apostas no Livro de Presença de Cotistas, na forma estabelecida no item 8.2.1 do regulamento do Fundo, conforme alterado (o “Regulamento”), e no artigo 72, §7º, da Instrução CVM nº 175, de 23 de dezembro de 2022, conforme alterada (a “Resolução CVM 175”).

MINUTES OF THE EXTRAORDINARY GENERAL MEETING OF QUOTAHOLDERS HELD ON JANUARY 14, 2026, AT 10:00 AM BRT

DATE, TIME AND PLACE: The meeting was held on January 14, 2026, at 10:00 am BRT, at Alves Guimarães Street, No. 1212, Pinheiros, São Paulo-SP, Zip Code (CEP) 05.410-002, at the headquarters of BRL TRUST DISTRIBUIDORA DE TÍTULOS E VALORES MOBILIÁRIOS S.A., enrolled with the National Registry of Legal Entities (the “CNPJ”) under No. 13.486.793/0001-42, in its capacity as the administrator (the “Administrator”) of PROLOGIS BRAZIL LOGISTICS VENTURE FUNDO DE INVESTIMENTO IMOBILIARIO DE RESPONSABILIDADE LIMITADA, enrolled with the CNPJ under No. 31.962.875/0001-06 (the “Fund”).

CALL NOTICE AND ATTENDANCE: The call notice was waived, given the attendance of the totality of the Fund’s quotaholders (the “Quotaholders”), as per the signatures in the Quotaholders’ Attendance Book, in accordance with item 8.2.1 of the Fund’s bylaws, as amended (the “Bylaws”), and Article 72, paragraph 7, of CVM Resolution No. 175, dated December 23, 2022, as amended (the “CVM Resolution 175”).

ORDEM DO DIA: Deliberar sobre a emissão e a oferta pública de distribuição de novas cotas pelo Fundo.

DELIBERAÇÕES: Após a análise e a discussão da ordem do dia, os Cotistas deliberaram, por unanimidade, sem quaisquer ressalvas ou restrições:

(i.a) aprovar a emissão, em série e classe única, de 185,908.30066 (Cento e oitenta e cinco mil novecentos e oito inteiros e trinta mil e sessenta e seis cem-milésimos) novas cotas pelo Fundo, no valor unitário de R$ 1.000,00 (Mil reais), totalizando o montante de R$185.908.300,66 (Cento e oitenta e cinco milhões, novecentos e oito mil, trezentos reais e sessenta e seis centavos), em conformidade com o item 7.3 do Regulamento (as “Novas Cotas”), as quais conferirão a seus titulares os mesmos direitos políticos, econômicos e patrimoniais das demais cotas do Fundo, observados a subscrição do número mínimo de 1.000 (mil) Novas Cotas, totalizando o montante mínimo de R$1.000.000,00 (um milhão de reais) (o “Volume Mínimo”), e o cancelamento do eventual saldo não colocado após o encerramento do prazo de distribuição, sob pena de cancelamento desta emissão e oferta, nos termos dos itens 7.3.1 e 7.3.2 do Regulamento;

(i.b) as Novas Cotas serão ofertadas pelo Fundo e distribuídas pela BRL TRUST DISTRIBUIDORA DE TÍTULOS E VALORES MOBILIÁRIOS S.A., inscrita no CNPJ sob o nº 13.486.793/0001-42 (o “Distribuidor”), sob Rito Automático, nos termos da Resolução CVM Nº 160, de 13 de julho de 2022, exclusivamente destinada a investidores profissionais, na proporção da quantidade de cotas tituladas por cada Cotista em relação ao número total de cotas emitidas

AGENDA: To resolve on the issuance and public offering for distribution of new quotas by the Fund.

RESOLUTIONS: After analysis and discussion of the agenda hereof, the Quotaholders, by unanimous vote, adopted the following resolutions without any reservations or restrictions:

(i.a) approve the issuance of a single series and class of 185,908.30066 (One hundred eighty-five thousand nine hundred eight and thirty thousand sixty-six hundredthousandths.) new quotas by the Fund, with unit value of R$ 1.000,00 (One thousand Brazilian reais), totaling the amount of R$185.908.300,66 (One hundred eighty-five million, nine hundred eight thousand, three hundred Brazilian reais and sixty-six cents), in accordance with item 7.3 of the Bylaws (the “New Quotas”), which shall ensure to their owners identical political, economic and property rights as the other quotas of the Fund, subject to the subscription of the minimum number of 1,000 (One thousand) New Quotas, totaling the minimum amount of R$ 1,000,000.00 (One million reais) (the “Minimum Amount”), and cancellation of the unsubscribed New Quotas, if any, following the end of the distribution period, under penalty of cancellation of this issuance and offering pursuant to the items 7.3.1 and 7.3.2 of the Bylaws;

(i.b) the New Quotas will be offered by the Fund and distributed by BRL TRUST DISTRIBUIDORA DE TÍTULOS E VALORES MOBILIÁRIOS S.A., enrolled with the CNPJ under No. 13.486.793/0001-42 (the “Distributor”), Under Automatic Procedure, pursuant to CVM Ruling Nº 160 of July 13, 2022, exclusively intended for professional investors, in proportion to the number of

(i.c) as Novas Cotas poderão ser subscritas pelos Cotistas durante o prazo de distribuição, observada a subscrição do Volume Mínimo, sendo que as Novas Cotas assim subscritas deverão ser totalmente integralizadas, em moeda corrente nacional, dentro do prazo estabelecido nos boletins de subscrição das Novas Cotas, observado o disposto no item 7.3.4 do Regulamento.

ENCERRAMENTO: Nada mais havendo a tratar, foi encerrada a assembleia e lavrada a presente ata, que, depois de lida e aprovada, foi devidamente assinada pelos presentes.

Quotas held by each Quotaholder in relation to the total number of Quotas issued by the Fund, as per item 7.3 of the Regulations.; and

(i.c) the New Quotas may be subscribed for by the Quotaholders within the distribution period, provided that the Minimum Amount is subscribed for, and the New Quotas subscribed accordingly shall be fully paid up in Brazilian currency no later than the end of the term provided in the subscription bulletins of the New Quotas, subject to item 7.3.4 of the Bylaws.

CLOSING: Nothing further to discuss, the meeting was closed for drafting these minutes, which were then read, approved and duly signed by those present at the meeting.
