Quotaholders and the Administrator

Rio Bravo Renda Varejo Fundo de Investimento Imobiliário de Responsabilidade Limitada (Formerly Fundo de Investimento Imobiliário Rio Bravo Renda Varejo - FII) (Administered by Rio Bravo Investimentos Distribuidora de Títulos e Valores Mobiliários Ltda.) São Paulo- SP

Opinion

We have audited the accompanying financial statements of Rio Bravo Renda Varejo Fundo de Investimento Imobiliário de Responsabilidade Limitada (“Fund”), which comprise the statement of financial position as at December 31, 2025 and the statements of profit or loss, of changes in equity, and of cash flows for the year then ended, and notes to the financial statements, including the material accounting policies and other explanatory information.

In our opinion, the financial statements referred to above present fairly, in all material respects, the financial position of Rio Bravo Renda Varejo Fundo de Investimento Imobiliário de Responsabilidade Limitada as at December 31, 2025, and its financial performance and its cash flows for the year then ended, in accordance with accounting practices adopted in Brazil applicable to real estate investment funds.

Basis for opinion

We conducted our audit in accordance with Brazilian and International Standards on Auditing. Our responsibilities under those standards are further described in the “Auditor’s responsibilities for the audit of the financial statements” section of our report. We are independent of the Fund and its Administrator in accordance with the relevant ethical requirements in the Code of Ethics for Professional Accountants and the professional standards issued by the Brazilian Federal Accounting Council (CFC), applicable to audits of financial statements of public interest entities in Brazil, and we have fulfilled our other ethical responsibilities in accordance with these requirements. We believe that the audit evidence obtained is sufficient and appropriate to provide a basis for our audit opinion.

Emphasis of matter
Property registration regularization

We draw attention to note 10 to the financial statements, which describes that, as at December 31, 2025, certain properties included in the Fund's portfolio still do not have the formal transfer of ownership duly registered in the Fund's name. As disclosed by Management, the regularization processes are underway, within the contractual deadlines, and no material impacts on the financial statements at the reporting date have been identified. Our opinion is not modified in respect of this matter.

Key audit matters

Key audit matters are those matters that, in our professional judgment, were of most significance in our audit of the financial statements of the current year. These matters were addressed in the context of our audit of the financial statements as a whole, and in forming our opinion thereon, and we do not provide a separate opinion on these matters.

Appreciation of investment properties

As per the statement of financial position and note 10 to the financial statements, as at December 31, 2025, the Fund had a substantial portion of its portfolio represented by investment properties, which are appraised and recorded at fair value.

Considering the relevance of the investment properties in relation to the Fund's equity, their effects on the financial statements taken as a whole, as well as the existing complexity inherent in the fair value measurement process, we consider this to be a key audit matter.

How this matter was addressed in our audit

Our audit procedures included, but were not limited to, the involvement of our specialists to assist us in the: (i) assessment of the appraisal method adopted by the appraiser, considering the characteristics of the investment properties; (ii) review of the appraisal method and financial models used, observing whether they are in accordance with the appraisal methods and market practices; (iii) assessment of the reasonableness of the assumptions used by the appraiser; (iv) review of the mathematical accuracy of the data in the appraisal report and supporting spreadsheets; and (v) analysis of additional information that could contradict the most significant assumptions and methods used by the appraiser. We also assessed the adequacy of the disclosures made in the notes to the financial statements.

Based on the results of the audit procedures performed on the investment properties, we consider that the audit evidence obtained was sufficient and appropriate, in all material respects, in the context of the financial statements taken as a whole.

Responsibilities of the Fund’s Administrator for the financial statements

The Fund’s Administrator is responsible for the preparation and fair presentation of the financial statements in accordance with the accounting practices adopted in Brazil applicable to real estate investment funds, and for such internal control as Management determines is necessary to enable the preparation of financial statements that are free from material misstatement, whether due to fraud or error.

In preparing the financial statements, the Fund Administrator is responsible for assessing the Fund’s ability to continue as a going concern, disclosing, as applicable, matters related to going concern and using the going concern basis of accounting unless the Fund’s Administrator either intends to liquidate the Fund or to cease operations, or has no realistic alternative but to do so.

Auditor’s responsibilities for the audit of the financial statements

Our objectives are to obtain reasonable assurance about whether the financial statements as a whole are free from material misstatement, whether due to fraud or error, and to issue an auditor’s report that includes our opinion. Reasonable assurance is a high level of assurance, but is not a guarantee that an audit conducted in accordance with Brazilian and International Standards on Auditing will always detect a material misstatement when it exists. Misstatements can arise from fraud or error and are considered material if, individually or in the aggregate, they could reasonably be expected to influence the economic decisions of users taken on the basis of these financial statements.

As part of an audit in accordance with Brazilian and International Standards on Auditing, we exercise professional judgment and maintain professional skepticism throughout the audit. We also:

  • Identify and assess the risks of material misstatement of the financial statements, whether due to fraud or error, design and perform audit procedures responsive to those risks, and obtain audit evidence that is sufficient and appropriate to provide a basis for our opinion. The risk of not detecting a material misstatement resulting from fraud is higher than for one resulting from error, as fraud may involve collusion, forgery, intentional omissions, misrepresentations, or the override of internal control.

  • Obtain an understanding of internal control relevant to the audit in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the effectiveness of the Fund's internal control.

  • Evaluate the appropriateness of accounting policies used and the reasonableness of accounting estimates and related disclosures made by Management.

  • Conclude on the appropriateness of Management's use of the going concern basis of accounting and, based on the audit evidence obtained, whether a material uncertainty exists related to events or conditions that may cast significant doubt on the Fund's ability to continue as a going concern. If we conclude that a material uncertainty exists, we are required to draw attention in our auditor's report to the related disclosures in the financial statements or, if such disclosures are inadequate, to modify our opinion. Our conclusions are based on the audit evidence obtained up to the date of our auditor's report. However, future events or conditions may cause the Fund to cease to continue as a going concern.

  • Evaluate the overall presentation, structure and content of the financial statements, including the disclosures, and whether the financial statements represent the underlying transactions and events in a manner that achieves fair presentation.

We communicate with the Fund’s Administrator regarding, among other matters, the planned scope and timing of the audit and significant audit findings, including any significant deficiencies in internal control that we identified during our audit.

We also provide the Fund’s Administrator with a statement that we have complied with relevant ethical requirements regarding independence, and to communicate with them all relationships and other matters that may reasonably be thought to bear on our independence, and, where applicable, related safeguards.

From the matters communicated to the Fund’s Administrator, we determine those matters that were of most significance in the audit of the financial statements of the current year and are therefore the key audit matters. We describe these matters in our auditor's report unless law or regulation precludes public disclosure about the matter or when, in extremely rare circumstances, we determine that a matter should not be communicated in our report because the adverse consequences of doing so would reasonably be expected to outweigh the public interest benefits of such communication.

1. Corporate information

Fundo de Investimento Imobiliário Rio Bravo Renda Varejo - FII (“Fund”) was established as a closed-end fund on May 17, 2012 and started its operations on November 12, 2012, with an indefinite term. The Fund is regulated by Law 8,668, of June 25, 1993, and by Resolution 175, of December 23, 2022, with the amendments introduced by CVM Resolutions 181/23, 184/23, 187/23, 200/24, 206/24, 209/24 and 214/24, which revoked CVM Instruction 472/08, and by CVM Instruction 516/11 and Resolution 192/23.

Due to the Fund's adaptation to CVM Resolution 175, on June 5, 2025, the Fund changed its corporate name to Rio Bravo Renda Varejo Fundo de Investimento Imobiliário de Responsabilidade Limitada.

The Fund's corporate purpose is to make long-term real estate investments through the following modalities: (a) acquisition and subsequent rental to third parties or lease of commercial properties, mainly commercial properties intended for retail, parking spaces related to properties owned by the Fund and rights over real estate developments intended for commercial activity, and may also acquire corporate properties intended for commercial exploitation related to retail real estate transactions; (b) acquisition and eventual construction and/or adaptation of properties or rights over properties for (i) rental to third parties through the execution of rental contracts, and (ii) sale, according to the rules defined in the Fund's regulations; and/or (c) acquisition of accounts of other real estate investment funds, including quotas of real estate investment funds administered or managed by the Administrator and/or its affiliates.

The Fund’s quotas are intended for investors in general, either individuals, legal entities, investment funds or any other investment vehicles, domiciled or headquartered in Brazil or abroad, however its use as investment clubs is prohibited.

Notes to the financial statements Years ended December 31, 2025 and 2024

The portion of the Fund's equity not invested in real estate assets may be invested in fixed income assets, bank deposit certificates and Real Estate Credit Bills (LCI) with a repurchase commitment by the issuer, and fixed income investment fund quotas with daily liquidity, in conjunction with real estate assets.

The investments in funds are not collateralized by Rio Bravo Investimentos Distribuidora de Títulos e Valores Mobiliários Ltda. (“Administrator”) or by any insurance mechanism, or also by the Credit Guarantee Fund (FGC). Quotaholders are exposed to the possibility of being called to contribute amounts in situations when the Fund’s equity becomes negative.

The Fund has its quotas listed on B3 S.A. – Brasil, Bolsa, Balcão and meets the requirements of item 4.7 of its Regulations for Listing of Issuers and Admission of Securities to Trading.

2. Basis of preparation of the financial statements

These statements were prepared in accordance with the accounting practices adopted in Brazil applicable to Real Estate Investment Funds regulated by Instruction 516/11 and Resolution 192/23 of the Brazilian Securities and Exchange Commission (“CVM”), including the Pronouncements, Guidance and Interpretations issued by the Accounting Pronouncements Committee (“CPC”), and the standards issued by the Federal Accounting Council (CFC), provided that they do not conflict with the requirements in specific instructions of the Real Estate Investment Funds.

(a) Authorization for issue of the financial statements

The financial statements for the year ended December 31, 2025, were approved and authorized for issue by the Administrator on March 31, 2026, and are available on the CVM’s and on the Administrator’s websites, and will be subsequently submitted at the Quotaholders General Meeting, in accordance with current legislation.

Notes to the financial statements Years ended December 31, 2025 and 2024

(b) Basis of measurement

The financial statements were prepared based on the historical cost, except for real estate and non-real estate financial assets, and investment properties that are measured at fair value, as required by CVM Instruction 516/11.

(c) Functional and presentation currency of the financial statements

The Fund’s functional currency is the Real (R$), the same currency of preparation and presentation of the financial statements. All financial information presented in Reais has been rounded to the nearest thousand, unless otherwise indicated.

(d) Use of estimates and judgments

The preparation of the Fund’s financial statements in accordance with the current standards applicable to Real Estate Investment Funds requires the Administrator to make judgments, estimates and assumptions that affect the application of accounting policies and the reported amounts of assets, liabilities, income and expenses. Actual results may differ from these estimates.

The estimates and underlying assumptions are revised on an ongoing basis. Revisions to accounting estimates are recognized in the year in which the estimates are revised and in any future years affected.

Information regarding critical judgments concerning the accounting policies adopted that have significant effects on the amounts recognized in the Fund's financial statements is included in note 3 (c) - Investment properties (appreciation of investment properties).

3. Summary of material accounting policies

a. Cash and cash equivalents

Cash and cash equivalents comprise cash and short-term investments with original maturities of three months or less from the transaction date, subject to an insignificant risk of change in fair value, and are used by the Fund in managing short-term obligations.

Notes to the financial statements Years ended December 31, 2025 and 2024

b. Real estate financial assets

i. Fund quotas

Investment fund quotas are recorded at acquisition cost. The listed funds are updated monthly according to market value. Unlisted funds are in accordance with the issuance value. The appreciation and/or depreciation of quotas of listed investment funds is presented according to the "mark-to-market adjustment," while for unlisted funds, the appreciation and/or depreciation is realized at the time of sale.

ii. Rents

Rents are recorded at the amount due corresponding to the period of use by the tenant, as per the rental contracts of the respective properties, less a provision for losses, when applicable.

c. Investment properties

i. Completed properties

These are properties held for earning rental income. The investment property is measured at acquisition cost on initial recognition and must be continuously measured at fair value. Changes in fair value are recognized in profit or loss.

The cost included the expense directly attributable to the acquisition of an investment property. The cost of the investment property constructed by the owner includes costs of material and direct labor, any cost directly attributable to place this investment property into conditions of use according to its purpose.

Gains and losses on the disposal of an investment property (calculated as the difference between the net disposal proceeds and the carrying amount of the asset) are recognized in profit or loss for the year.

Notes to the financial statements Years ended December 31, 2025 and 2024

ii. Properties under construction

These are recorded at historical acquisition or construction cost until their completion, and includes all expenses directly attributable to the acquisition of an asset. The cost of assets constructed by the Fund includes:

  • The cost of materials and direct labor; and

  • Any other costs to bring the asset to the location and condition necessary for it to be able to operate in the manner intended by the Administrator.

If the Administrator concludes that the fair value of an investment property under construction cannot be reliably measured, measurement should be made at cost until fair value can be reliably determined or until construction is completed, whichever occurs first.

iii. Land

Plots of land are acquired for purposes of rental income and/or for long-term capital appreciation and are classified as investment properties within the investments subgroup of non-current assets. They were initially recognized at cost and adjusted to fair value. The results of fair value adjustments are recognized in the statement of profit or loss under "Fair value adjustment".

iv. Intangible assets

Intangible assets are rights over properties and reflect the expectation regarding the probability of expected future economic benefits, incorporated into the asset, being generated in favor of the entity and are measured using the Cost Method, being amortized on a straight-line basis until December 2035.

v. Subsequent costs

Subsequent costs are capitalized only when it is probable that future economic benefits associated with such costs will flow to the Fund. Maintenance and recurring repair costs are recognized in the statement of profit or loss when incurred.

Notes to the financial statements Years ended December 31, 2025 and 2024

d. Impairment of assets

The Administrator reviews on a periodic basis the net carrying amount of assets for the purpose of assessing events or changes in economic, operating or technological circumstances that might indicate impairment. When this indication is identified and the net carrying amount exceeds the recoverable amount, a provision for impairment is recognized, adjusting the net carrying amount to the recoverable amount.

The provision for losses is recognized based on an expected credit losses model, considering the history of defaults, individual analysis of relevant credits, delay time, and other forward-looking factors.

e. Payables for pass-through of rents

Through structured transactions, the Fund advances future rents of its rental portfolio through securitization and recognizes such amounts in its liabilities as prepaid rents, under Payables for pass-through of rents, which will be recognized in profit or loss, on an accrual basis, based on the terms of the respective rental contracts.

f. Other assets and liabilities

An asset is recognized in the statement of financial position when it is probable that its future economic benefits will flow to the Fund and its cost or amount can be measured reliably.

A liability is recognized in the statement of financial position when the Fund has a legal or constructive obligation as a result of a past event, and it is probable that an outflow of resources will be required to settle it. Liabilities include corresponding charges and monetary adjustments incurred, when applicable.

Provisions are recorded based on the best estimates of the risk involved. Assets and liabilities are classified as current when it is probable that they will be realized or settled in the next 12 months. Otherwise, they are stated as non-current.

Notes to the financial statements

Years ended December 31, 2025 and 2024

g. Rental income and adjustments to realizable value

Rental income is recognized on a straight-line basis over the term of the rental contracts, regardless of receipt, reflecting the pattern of transfer of the economic benefits of the contracts to the tenants. Where applicable, receivables are adjusted for provision for expected losses, recognized separately in profit or loss, based on the assessment of credit risk of the tenants.

h. Recognition of revenues and expenses

Revenues and expenses are determined on an accrual basis, which establishes that revenues and expenses must be included in the determination of revenues and expenses in the periods in which they occur, irrespective of receipt or payment, considering that all risks and benefits arising from the contracts have been transferred.

i. Share of profit (loss) of investees

The Fund adopts the equity accounting method, and investments in subsidiaries are accounted for using the equity method, as applicable.

j. Earnings (loss) per quota

Earnings (loss) per quota is calculated by dividing the profit (loss) by the number of outstanding quotas on a monthly basis.

4. Cash and cash equivalents

(*) Currently, eight properties of the Fund have pending issues for registration regularization and their transfer to the Fund's name, with four properties rented to Caixa Econômica Federal, one rented to Super Nosso, one currently vacant, one rented to GPA, and one rented to Cogna Educação. The regularizations are within the contractual deadlines, and the information is disclosed to the quotaholders through reports. There is no expired contract that has not been regularized. Rio Bravo actively and continuously works with property sellers to regularize their properties and has a technical team that regularly monitors and takes appropriate measures to ensure that these processes are completed as quickly as possible. This includes monitoring the actions taken by the tenant, providing constant follow-ups, and working closely with the legal team that advises on the legal procedures.

Properties are initially recorded at construction/acquisition cost and subsequently measured at fair value.

  • ii.The cost recognized on the sale of the properties was R$ 37,455 (R$ 65,500 in 2024) according to the last appraisal recognized in December 2024. The cost of the properties sold is comprised of R$ 29,514 (R$ 52,866 in 2024) of acquisition cost and R$ 7,941 of fair value adjustment in 2025 (R$ 12,634 in 2024), an adjustment that at the end of the year was transferred to the "Retained Earnings" account.

  • iii.As described in Note 7.i, there was a partial termination of the Private Instrument of Irrevocable and Irreversible Commitment to Purchase and Sell Properties and Other Covenants between the Fund and Caixa Econômica Federal, regarding the Guaianases and Pirituba branches, at cost. The total cost was R$ 24,450, of which R$ 14,072 related to acquisition cost and R$ 10,378 to fair value adjustment.

c) Method for determining the fair value

Colliers Technical Services Ltda., an external independent appraisal company with appropriate recognized professional qualification and experience in the region and in the type of property being appraised, uses market value appraisal methods that include the Direct Market Data Comparison Method and the Discounted Cash Flow Income Capitalization Method for the properties owned by the Fund at the base date of December 2025 (December 2024 in the year ended December 31, 2024).

The fair values are based on market values and reflect the estimated value at which a property could be traded on the appraisal date between knowledgeable and interested parties in a transaction under normal market conditions. In the absence of current prices in the active market, appraisals are prepared considering the estimated discounted cash flows from the rents of the investment properties. The discount rate applied was from 7.50% p.a. to 10.50% p.a. (7.50% p.a. to 10.50% p.a. in 2024) and a capitalization rate of 6.75% p.a. to 9.25% p.a. (6.75% p.a. to 9.25% p.a. in 2024) then applied to the net annual cash flows to arrive at the property appraisal.

31. Risk factors

Risks related to investment profitability

The investment in quotas of a real estate investment fund is an investment in variable income securities. The amounts to be distributed to the quotaholders will depend on the result of the Fund which, in turn, will depend on the income from rental of the Fund’s properties.

Liquidity risk

Quotaholders are expected to be aware that the investment in the Fund has peculiar and specific characteristics regarding liquidity of quotas, consisting therefore in a medium-to-long term investment. There may be also a fluctuation in the quota value in the short term, which may result in losses above the capital invested and the possible obligation of the quotaholder investing additional amounts to cover the Fund’s losses.

Tax risks

The tax risk consists basically in the possibility of losses arising from any changes in the tax legislation through the creation of new taxes, different interpretation of the levy of any taxes or the revocation of prevailing exemptions subjecting the Fund or its quotaholders to new payments not initially foreseen.

Risk of expropriation

There is the possibility of a partial or total expropriation of the property(ies) that comprise the Fund’s investment portfolio, by unilateral decision of the public authorities, in order to meet the utility and public interest purposes. That expropriation may result in loss of the property and affect the profitability of the Fund. There is no guarantee that such indemnity paid to the Fund by the expropriating authority be sufficient to pay the profitability intended by the Fund.

Risk of claims

In the event of claims involving the physical integrity of the Fund’s properties, the amounts obtained from the indemnities to be paid by the insurance companies may not be sufficient to cover the damage, and delay in its payment may affect the development of the businesses and, consequently, the Fund’s profitability.

Notes to the financial statements Years ended December 31, 2025 and 2024

General macroeconomic risks

Rentals use to suffer changes in their values due to the behavior of the economy as a whole. Therefore, the Fund is direct or indirectly subject to the capital market variations and the economic scenario of Brazil, such as:

  • a) Slowdown of the economy; b) Interest rates; c) Changes in monetary and/or foreign exchange policies;

  • d) Inflation;

  • e) Liquidity of the financial markets;

  • f) Tax risks; and g) Other political and economic events that may affect the real estate market.

Risk related to changes in income distribution criteria and its respective taxation

On January 24, 2022, the Brazilian Securities and Exchange Commission released the minutes of its Board meeting held on December 21, 2021, in which it decided to partially uphold an appeal involving issues related to the distribution of income from real estate investment funds in amounts exceeding the accumulated accounting profit.

This decision involved a specific case. However, the understanding expressed therein can apply to other real estate investment funds that have similar characteristics to the case analyzed.

Based on the Board's decision, real estate investment funds have discretion to determine the amounts to be distributed to quotaholders. However, when presenting their financial statements, they must properly recognize the segregation of distributed amounts between income and amortization of capital.

The effects of the decision are suspended; however, if the decision is confirmed, the presentation of the effects of distribution of income in the financial statements may be impacted, with a potential significant impact on the dynamics of distribution approval of distributions and taxation of distributed amounts.

Financial transactions are contracted and monitored using periodically reviewed management criteria that take into account the financial soundness, reliability, and market profile of the entity with which the transactions are conducted.

The Fund is exposed to the credit risk in its operating activities, including bank deposits and financial investments. The Fund restricts its exposure to credit risk by making its investments in first tier financial institutions.

(d) Liquidity risk

33. Fair value hierarchy

The Fund adopts the CPC 46 and article 7 of CVM Instruction 516/2011 for financial instruments that are measured in the statement of financial position at fair value, which requires disclosure of fair value measurements at the level of the following fair value measurement hierarchy:

Level 1 - The fair value of financial instruments traded in active markets is based on market prices, quoted at the reporting date. A financial instrument is regarded as quoted in an active market if quoted prices are readily and regularly available from an exchange, dealer, broker, industry group, pricing service or regulatory agency, and those prices represent actual and regularly occurring market transactions on an arm’s length basis.

Level 2 - The fair value of financial instruments that are not traded in an active market is determined by using valuation techniques. These techniques make maximum use of market inputs, and rely as little as possible on entity-specific inputs. If all relevant inputs required for the fair value of an instrument is adopted by the market, the instrument is included in Level 2.

Level 3 - If one or more relevant inputs is not based on data adopted by the market, the instrument will be included in Level 3. The specific valuation techniques used for financial instruments and investment properties include those described in article 7 of CVM Instruction 516/11.
